Clarification on Misinformation Regarding the Kokoon Organization

The Board of Directors of the Kokoon Organization is issuing this updated public statement to address and correct persistent misinformation circulating in certain media outlets and online sources regarding our organization and its Founder and President, Per Jacob Solli. This statement incorporates newly provided documentation, including a declaration from Jan Jacobsen dated August 18, 2025, and a legal commentary from our long-term attorney, Håkon Brækhus, dated September 16, 2025. It is grounded in verifiable records, independent investigations, official retractions, and declarations from key stakeholders. It aims to provide a clear, factual record for shareholders, partners, the public, and any interested parties, including legal and media professionals. All claims of wrongdoing or impropriety against our organization or Mr. Solli are demonstrably unfounded, as evidenced by the materials outlined below.

Background on the Kokoon Organization

The Kokoon Organization, with its holding company Kokoon Global Inc. established in 2015 in Delaware, USA, and relocated to Florida (Document Number: P24000027471), encompasses subsidiaries in the UK, Spain, and Norway. The organization has operated continuously since its inception, focusing on developing an international business model in healthcare, wellness, and property. As of 2025, the Kokoon Organization holds debt-free real estate assets valued at over USD 5 million, has generated cumulative gross revenue exceeding USD 15 million from 2015 to 2024, and is preparing for direct listings on stock exchanges in Norway (via Kokoon Property Norway ASA on Euronext) and the United States. The organization now has over 560 shareholders and remains debt-free, with a track record of ethical operations and strategic growth.

Any corporate restructurings, such as voluntary dissolutions of UK entities between 2008 and 2025, were conducted in full compliance with regulations, as confirmed by Dammcom LP in their August 12, 2025, Certificate of Compliance. No entities have been forcibly dissolved, declared bankrupt, or subjected to sanctions by UK authorities.

Addressing Specific Allegations and Misinformation

Over the years, isolated reports—primarily from a small local Norwegian online publication, Bodø Nu; a blog called "Antipersolli"; and more recently Finansavisen—have circulated unsubstantiated claims about the Kokoon Organization and Mr. Solli. These include allegations of fraud, misuse of high-profile individuals in marketing, failed projects, and other improprieties. Each of these claims has been thoroughly investigated, refuted, and in many cases, publicly retracted. As noted by our attorney Håkon Brækhus in his September 16, 2025, commentary, there appears to have been an exceptionally low threshold for spreading negative characterizations and claims about the Kokoon Organization and Mr. Solli. The sources often stem from former business associates who ended up in conflict with Mr. Solli, and the allegations were also reported to Norwegian police years ago, but the police found no grounds to pursue them. Threats of civil lawsuits in London were unconditionally withdrawn after Mr. Brækhus provided a factual explanation of the realities. Below is a factual summary supported by documented evidence:

1. Allegations from Bodø Nu (2015 Articles):    

Bodø Nu published a series of articles alleging serious misconduct, including claims that individuals such as Terry Slater, Michael Moore, Ron Atkinson, and Bryan English were planning lawsuits against the Kokoon Organization; that CEO Kyrre Gulbrandsen had reported the organization to the police; and that purported "victims" had prompted a police investigation into fraud. These claims were declared false and misleading by Bodø Nu itself in a public clarification on June 26, 2019. The publication acknowledged that no lawsuits were planned or filed, that Kyrre Gulbrandsen had not reported the organization (and continues to serve as CEO of Kokoon Property Norway ASA), and that a 2015 police review in Norway concluded there were no grounds for investigation—dismissing the matter outright without charges or further action.    

As highlighted by Mr. Brækhus, the claim about Kyrre Gulbrandsen reporting the Kokoon Organization is illustrative: Mr. Gulbrandsen, who held and still holds a directorial role, has declared in writing that he never filed any report. Police documents from the time confirm no such report existed. The police complaint filed by others was dismissed without even initiating an investigation, underscoring the low threshold for publishing negative "news" about the Kokoon Organization and Mr. Solli. Additionally, the Norwegian Press Complaints Commission (PFU) reviewed the matter, leading to Bodø Nu's retraction and admission that their reporting was based on subjective and inaccurate accounts. No reputable national or international media outlets followed up on these stories, underscoring their lack of credibility.    

Regarding the specific claim in these articles (and echoed in related coverage) questioning "where did all the millions go?"—with allegations that approximately €60 million had disappeared—the truth is that from 2009 to 2015, the total amount expended over the entire period was £1,889,117 across three different companies. This figure is fully documented and verifiable through corporate accounts and bank statements. Furthermore, claims that investors lost significant money are entirely untrue; the majority of investors remain with the Kokoon Organization to this day and have not lost a single penny. Any losses were incurred solely by individuals who attempted to steal the organization or perpetrate fraud against it, while all other shareholders continue to hold their positions in the Kokoon Organization.

2. Claims from the "Antipersolli" Blog (2012 Onward):    

This anonymous blog has propagated undocumented allegations dating back 8–20 years, linked to outdated local newspaper references. In 2013, Mr. Solli engaged private investigator Ola Thune (a former senior Kripos investigator and recognized expert in Norway) to examine these claims. His February 28, 2018, report (41 pages) concluded that the allegations were entirely undocumented and likely stemmed from a personal conflict unrelated to the Kokoon Organization's operations. Efforts to identify the anonymous author were unsuccessful, but the blog's content has no evidentiary basis and has not influenced any serious business or legal proceedings. As confirmed by Mr. Brækhus in his September 15, 2025, commentary and his earlier letter dated May 2, 2019, these claims lack substance and do not warrant further legal pursuit due to their age and anonymity. Attempts to identify the anonymous author were unsuccessful; the blog has, according to reports, had significant negative consequences for Kokoon.

3. Allegations of Misuse of Morten Harket (Finansavisen, 2013 and 2025):    Finansavisen published articles in 2013 and republished an escalated version on March 30, 2025, claiming that Morten Harket (of A-ha) was "misused" in a PR or marketing campaign for the Kokoon Organization's Gran Canaria project. This is categorically false. Mr. Harket collaborated substantively with the Kokoon Organization from 2009 to 2013 as an advisor, contributing to concept development alongside board members and experts such as Ronald Atkinson (Big Ron), Clive Garston (former Chairman), Jan Jacobsen, Terry Slater, and others. He participated in numerous meetings with architects, engineers, and stakeholders, helping refine elements like the organization name "Kokoon" and environmental features. No individual marketing campaign featuring Mr. Harket ever existed; any reference to him in early materials was promptly corrected upon his manager's request, as confirmed by Clive Garston in his August 24, 2025, statement and Ronald Atkinson in his August 20, 2025, declaration.    

Further supporting this, Jan Jacobsen—Morten Harket's personal advisor for over 25 years—provided a sworn declaration on August 18, 2025, affirming that Mr. Harket was introduced to the Kokoon Organization, contributed actively (including daily guidance to Mr. Solli and co-creating the "Kokoon" name), and held a deep interest in the project. Mr. Jacobsen confirms 100% that no marketing campaign featuring Mr. Harket ever occurred and that he was never misused in connection with the Kokoon Organization. This declaration, executed under penalty of perjury, directly refutes Finansavisen's claims.    

As emphasized by Mr. Brækhus, these allegations have been addressed by multiple individuals with direct knowledge, including Ronald Atkinson's sworn declaration dated August 20, 2025, which states:    

"I confirm with absolute certainty (100%) that neither the Kokoon Organization nor any associated parties have ever used or misused Morten Harket in any marketing campaign whatsoever. Morten Harket worked collaboratively and equally with us in developing the Kokoon concept; his involvement was substantive and not promotional in nature... Any claims to the contrary, including those published in a 2015 article by Bodø Nu... and a recent article in the Norwegian newspaper Finansavisen... are entirely fabricated and constitute fake news."    

A formal complaint was filed with PFU on April 15, 2025, highlighting breaches of ethical standards under points 4.1, 4.4, and 4.14 of the Norwegian Press Code (Vær Varsom-plakaten), including failure to provide simultaneous right of reply and lack of factual basis for the headline's strong characterization of "misuse."

4. Retractions and Admissions from Involved Parties:    

- Jo Martinsen retracted his negative statements in an August 17, 2025, declaration, admitting they were based on fabricated information from Are Gundersen in Bodø Nu articles. He confirmed that key figures rejected the claims, which Gundersen knowingly withheld. As Mr. Brækhus assesses, it is up to the organization to decide on follow-up, noting Norway's high threshold for censorship under freedom of expression; proving factual errors may not suffice for legal success, and pursuing in another jurisdiction could be considered.    

- A September 1, 2025, statement signed by Jan Jacobsen, Kyrre Gulbrandsen, and Tommy Kvisvik details a 2018 admission by the late Tom Heine Bjercke, who apologized for his role in the 2015 Bodø Nu article, acknowledging he was misled by Gundersen and Wadood Ali Faiz. Independent verification by Tommy Kvisvik supports this.    

- Declarations from Ronald Atkinson, Clive Garston, and now Jan Jacobsen explicitly reject all related claims as "fabricated" and "without foundation."

5. Project Challenges in Gran Canaria:    

The Kokoon Organization's planned development in Gran Canaria evolved strategically, including a relocation of certain elements to Greece due to political and regulatory risks in Spain. In 2014, we rejected demands for improper payments to "facilitate" approvals, upholding our zero-tolerance policy on corruption. Attempts by individuals like Are Gundersen and Wadood Ali Faiz to undermine the project through misinformation failed, as confirmed by internal documentation and the contributions of ethical team members.

 

Summary of Alleged Fake News Stories and Evidence of a Scam

- Timeline of the Fake Stories:    

- 2015: Initial Fake News Report – A fabricated news story was published in Bodø Nu, spreading misinformation about the organization or related individuals.  

- 2019: Apology or Rejection by Bodø Nu – Bodø Nu issued a public clarification and retraction, acknowledging inaccuracies.    

- 2013: Fake Story in Finansavisen – The Norwegian financial newspaper Finansavisen published a false article claiming misuse of Morten Harket in a marketing campaign—a claim that never occurred and was entirely baseless.    

- 2025: Republication and Escalation – Finansavisen republished the discredited story, incorporating new alleged cases into it. This updated version was sensationalized to make the situation appear far more severe and damaging, with exaggerated headlines designed to maximize negative impact.

- Key Evidence That The Claims Against Kokoon Is a Scam:    

The most compelling proof that these stories are fabricated and part of a deliberate scam is the complete absence of coverage from any mainstream news outlets. Despite the organization's involvement of numerous high-profile shareholders—who would naturally draw significant media attention—if there were even a shred of truth to these allegations, the story would have exploded across global and national news channels. The fact that it has remained confined to these isolated Norwegian publications, without wider scrutiny or corroboration, strongly indicates that the entire narrative is a hoax intended to mislead or harm. This pattern of recycled falsehoods, unverified claims, and lack of broader journalistic interest underscores the scam's nature and lack of credibility. Additionally, the August 18, 2025, declaration from Jan Jacobsen provides further direct refutation, confirming no misuse of Morten Harket and emphasizing his genuine, substantive involvement in the Kokoon Organization's development.

The Kokoon Organization's journey since 2007 has been one of disciplined growth, ethical decision-making, and resilience against baseless attacks. The absence of coverage from mainstream global media—despite our involvement with high-profile figures—further evidences that these isolated Norwegian stories lack merit and appear designed to mislead. All allegations have been refuted through independent investigations, official retractions, police dismissals, and stakeholder declarations, including the recent one from Jan Jacobsen and the legal commentary from Håkon Brækhus. The Kokoon Organization remains a thriving enterprise, poised for global expansion with listings in Norway and the U.S.
